Vendor Agreement
Effective April 2026
This Vendor Terms and Conditions Agreement (“Agreement”) governs the relationship between Damsyn (“the Company”) and its Vendors in connection with the listing, marketing, and sale of items through the Company’s platform.
By onboarding with Damsyn, the Vendor agrees to be bound by the terms set out in this Agreement. These terms ensure clear operational procedures, accountability, and a productive working relationship between both parties. This Agreement outlines the rights and responsibilities of both the Company and the Vendor regarding stock management, pricing, commission, payment, delivery, returns, and confidentiality.
1.Onboarding and Listing
1.1 Upon onboarding, the Vendor shall submit items to Damsyn for professional photography and listing on the platform. Damsyn handles all photography, listing creation, and product publication at no cost to the Vendor beyond the applicable registration fee.
1.2 The Vendor shall confirm the retail price of each item at the point of onboarding. This confirmed price is the price that will be listed on the platform.
1.3 Any change to an item’s retail price must be communicated by the Vendor to Damsyn in writing (via WhatsApp message or email) before the change takes effect on the platform. Damsyn will not be held responsible for pricing errors arising from verbal or informal price changes.
1.4 If the Vendor is dissatisfied with how any item is presented on the platform (photography, description, or styling), the Vendor may request re-photography within seven (7) days of the item being listed. Damsyn will accommodate one re-photography request per item at no additional cost.
1.5 Damsyn reserves the right to refuse, suspend, or remove any listing that is counterfeit, illegal, misleading, damaged, unsafe, or otherwise inconsistent with Damsyn’s platform standards.
2.Stock Retention and Options After 30 Days
2.1 Vendors who have deposited stock with Damsyn shall have the right to reclaim their unsold items after a period of thirty (30) days.
2.2 Upon reclaiming their stock, Vendors may elect one of the following options:
- (a)Termination Option — The Vendor may terminate their partnership with Damsyn entirely and remove all items from the platform.
- (b)Continued Listing Option — The Vendor may reclaim physical possession of their items while electing to keep such items listed on the Damsyn platform.
2.3 Vendors who elect the Continued Listing Option shall:
- (c)Ensure that all listed items remain available for sale and in the condition as photographed.
- (d)Make items available for collection within twenty-four (24) hours of being notified of a sale. Failure to make an item available within this timeframe may result in the item being delisted.
- (e)Promptly notify Damsyn of any item sold outside the platform so that the listing can be removed immediately.
2.4 Failure by the Vendor to notify Damsyn of an external sale on three (3) separate occasions shall constitute a material breach, and Damsyn reserves the right to terminate the partnership without prior notice.
3.Vendor Tiers, Commission and Fees
3.1 Damsyn operates a three-tier vendor structure. The Vendor’s tier is determined at onboarding based on the level of service and marketing exposure the Vendor requires.

Commission Structure:
3.2 Vendors who list seven (7) or more items on the platform pay a commission rate of 10% per completed sale. Vendors who list fewer than seven (7) items pay a commission rate of 15% per completed sale. This structure rewards vendors who commit more products to the platform.
3.3 The commission is deducted from the retail sale price before the Vendor’s earnings are disbursed. The Vendor receives the sale price minus the applicable commission.
3.4 If a Vendor’s product count increases to 7 or more after onboarding, their commission rate will automatically adjust to 10% from the next payment cycle.
3.5 The registration fee is a one-time payment due at onboarding. No listing fees or photography fees apply beyond the registration fee.
3.6 The Vendor’s tier, product count, and applicable commission rate will be confirmed in writing at onboarding and recorded in the Acceptance section of this Agreement.
Early Supporter Terms:
3.7 Vendors who onboarded prior to the introduction of the tier system (“Early Supporters”) are currently on a promotional zero-commission period which expires at the end of May 2026. From 1 June 2026, Early Supporters will transition to a preferential flat commission rate of 7% on all sales, regardless of tier or product count. This 7% rate will be maintained for twelve (12) months from the date of transition. Early Supporters also receive a 50% discount on the registration fee applicable to their tier.
3.8 No commission or fee change will be applied retroactively to sales already completed.
8.General Vendor Obligations
Vendors agree to:
- (a)Provide accurate and truthful information regarding all listed items, including descriptions, sizing, materials, and pricing.
- (b)Respond promptly to all communications from Damsyn. A response within 24 hours of contact is expected.
- (c)Ensure items are available and ready for collection when sold.
- (d)Notify Damsyn immediately if an item is no longer available, damaged, or has been sold through another channel.
- (e)Comply fully with all operational and logistical arrangements outlined in this Agreement.
8.2 The Vendor warrants that all submitted items are authentic, legally owned, and do not infringe upon any trademark, copyright, or intellectual property rights.
10.Breach and Termination
10.1 Any breach of the provisions of this Agreement, including but not limited to failure to notify Damsyn of external sales (Section 2.4), failure to make items available within 24 hours (Section 2.3b), or breach of confidentiality (Section 9), shall entitle Damsyn to terminate the Vendor’s participation on the platform.
10.2 Damsyn reserves the right to suspend or terminate Vendor accounts where necessary to protect operational integrity, customer experience, or the Company’s reputation.
10.3 Either party may terminate this Agreement by providing seven (7) days’ written notice to the other party. Upon termination, the Vendor may collect any unsold stock held by Damsyn within fourteen (14) days.
10.4 Any Vendor stock not collected within thirty (30) days after termination or written notice for collection may be considered abandoned property, and Damsyn reserves the right to dispose of or liquidate such items after reasonable notice.
Acceptance
By signing the Agreement, the Vendor confirms that they have read, understood, and agree to be bound by all terms and conditions set out in this Agreement. The following details are recorded and confirmed in writing at onboarding:
